Ambassador Program T&Cs

The terms in these Ambassador Non-Disclosure Terms & Conditions (“Terms”) govern your access to and use of any information (“Information”) in relation to the Xcavate Ambassador Program (“Program”). The Information is exclusively intended to provide you with information about us and the Program. By accessing the Information, you agree to be bound by these Terms. If you do not want to agree to these Terms, you must not access or use the Information.

All Information qualifies as confidential information (“Confidential Information”). You shall only use Confidential Information including but not limited to the Program for its respective fulfilment. Any use of Confidential Information for any other purpose, or distribution of Confidential Information is prohibited. The confidentiality obligations do not apply to any part of Confidential Information which you can demonstrate: (i) is (at the time of disclosure) or becomes (after the time of disclosure) known to the public through no breach of these Terms by you; (ii) is disclosed to you by a third party who is entitled to disclose it without breaching a confidentiality obligation to us; (iii) as shown by written records, was known to, or was in the possession of, you prior to the time of disclosure by us; or (iv) as shown by written records, is developed by you independently of any Confidential Information disclosed under these Terms.

You should not construe any Information as legal, tax, investment, financial, or other advice. Nothing contained in the Information constitutes, and may not be used in connection with, an offer or solicitation to subscribe or allocate digital assets in any place where offers or solicitations or activities in relation thereof are not permitted by law.

You warrant to us that (i) you and any person you represent are outside any jurisdiction in which accessing information about digital assets cannot lawfully be made without compliance with registration or other legal requirement, and (ii) you are a person who is permitted under applicable law to access information such as the Information regarding digital assets.

All Information is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied.

Neither we nor any person associated with us makes any warranty with respect to the completeness, security, reliability, quality, accuracy, or availability of any Information. Without limiting the foregoing, neither we nor anyone associated with us warrants that the Information will be accurate, reliable, or error-free, or that the Information will otherwise meet your needs or expectations.

To the fullest extent permitted by the applicable law will neither we nor our affiliates or our or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Information, including any direct, indirect, special, incidental, or consequential damages, including but not limited to, loss investments, bad performance of investments, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill or loss of data, even if foreseeable.

These Terms are an agreement between you and us. If you have any questions about these Terms, please contact us at The Terms only govern your access to the Information. The Program is subject to separate terms and conditions that you have to accept before you can complete the Program.

These Terms are governed by the laws of England and Wales. The United Nations Convention on the International Sale of Goods shall not apply. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the courts of the city of England and Wales.
